Notice of Annual Meeting of Members for
Purposes of Electing Directors to the WSVMA Board of Directors

Notice is hereby given that the Annual Meeting of the Members of the Washington State Veterinary Medical Association will be held via Zoom in conjunction with the Pacific Northwest Veterinary Conference on Saturday, October 2, 2021, at 12 p.m. for the following purposes:

  1. To elect two directors to the WSVMA Board of Directors; and
  2. To transact such other business as may properly come before the meeting or any postponement or adjournment.

Members of record at the close of business on August 20, 2021 are entitled to notice of, and to vote at, the special meeting or any postponement or adjournment.

Proxy Statement

Board Solicitation. The enclosed proxy is solicited on behalf of the Board of Directors of the Washington State Veterinary Medical Association for use at the Annual Meeting of Members to be held at 12:00 p.m. on Saturday, October 2, 2021 via Zoom. The mailing address of the principal office of the Association is 23515 NE Novelty Hill Rd., #B221-337, Redmond, WA 98053.

Issued Voting Securities. The Association currently has 1277 voting members as of the close of business on August 20, 2021 (the “Record Date”). Each voting member is entitled to one vote on all matters properly presented at the Annual Meeting.

Members who are unable to attend the meeting in person should complete, sign and date the attached proxy (the “New Proxy”) to appoint Dr. Jennifer Bennett, WSVMA Secretary, as your proxy agent (the Agent”) for purposes of voting for you at the October 2, 2021 Annual Membership Meeting.

NOTE: Any New Proxy shall be limited in duration and effect. Specifically, a New Proxy will only be effective for the matters to be voted on at the October 3, 2021 Annual Membership Meeting.

Voting of New Proxies; Revocation. Each valid New Proxy will be voted at the Annual Membership Meeting in accordance with the member’s instructions contained in the New Proxy. If no contrary instructions are given, each New Proxy received will be voted as follows:

  • For the election of two new directors to serve three-year terms on the WSVMA Board of Directors.
  • In the discretion of the Agent with respect to any additional business which may be properly brought before the meeting.

Except in certain narrow circumstances, any person who gives a proxy has the power to revoke it at any time before its exercise. Such proxy may be revoked by written notification to the President of the Association, by executing a proxy bearing a later date which is received by the Association prior to the Annual Meeting or by attending the Annual Meeting and voting in person. A member who attends the Annual Meeting, however, is not required to revoke any proxy and vote in person.
